Terms of Use: 

These Terms of Use are applicable to all customers and students who have purchased or are currently intending to purchase any training developed by MogulMums and or Whitney Hodge, outlined below (hereinafter “you” or “Client”). Client agrees he/she has or is planning to willingly and voluntarily purchase access to the digital product to be provided with services rendered by MogulMums and Whitney Hodge, and you agree you voluntarily are entering or entered into a legally binding Agreement with MogulMums or Whitney Hodge, inclusive of the following terms and conditions:

For good and valuable consideration of the price shown on the digital product in South African Rands, Client is electing or has elected to purchase their selected digital product/s” (hereinafter “Product”). MogulMums agrees to provide the services outlined in the Program Details below, and the Product sales page(s) outlining the program features in detail.

1. PRODUCT OUTLINE

A. Client is electing to purchase digital products developed by MogulMums or Whitney Hodge, where the MogulMums team guides you through specific elements of entrepreneurship. 

B. Client acknowledges that he/she has read the Program Outline Addendum and conducted any additional research necessary to feel he/she understands what is being provided within the digital product, as well as what is not included. Client agrees to be bound by the terms and conditions outlined herein, as well as the general policies and procedures that can be found in this Agreement and on MogulMums website.

2. CONFIDENTIALITY / NON-DISCLOSURE:

A. Client understands that one of the primary elements in purchasing Product and learning from MogulMums is the benefit of obtaining expert guidance, proprietary teachings, materials, and exercises that have given MogulMums social media following. Following Client’s purchase, he/she will have gain access to various trade secrets and personal intellectual property of MogulMums, including but not limited to materials such as templates, proprietary systems, technical information, business advice, and/or other information that may have become available for use through Client’s purchase of Product. Client understands and acknowledges that this information is not to be openly shared with others who have not participated or purchased the Product, without permission from MogulMums or Whitney Hodge personally.

B. Client agrees not to share, copy, or distribute any documents or other proprietary information obtained through the Product, and agrees that he or she will be in violation of these Terms of Use if he or she uses any of the Content outlined as his/her own material, or repurposes and uses the Content in his/her own business as a product or service being offered for sale, without express written permission of MogulMums or Whitney Hodge personally. Client also understands and agrees he/she will not disclose or use any information Client learns or obtains through his/her purchase of the Product, other than for personal use, without prior written permission from MogulMums or Whitney Hodge personally.

3. TESTIMONIALS:

A. Client understands and agrees that any and all commentary provided on public social media profiles including those belonging to MogulMums may be published and used as testimonials by MogulMums. Client gives MogulMums a non-exclusive license to use the copy as written on the social media profile, in the email, or otherwise, and repost on MogulMums social media channels, in advertisements for the Product, or other similar channels for the specific purpose of promoting and showcasing client results.

B. If Client chooses to write about positive experiences in purchasing the Product, Client understands the material, along with Client’s name and other identifying information, may be published on MogulMums website, social media pages, or otherwise. No payment or additional services will be provided in return for Testimonial, and Client understands he or she is granting MogulMums an unlimited, irrevocable license in perpetuity to use, publish, distribute, or repurpose any information provided to MogulMums as part of a Testimonial.

4. PAYMENT

A. Client understands he/she will make a one-time payment of the applicable price payable up front, in full, prior to receiving or being entitled to access to the Product.

B. Client agrees to render payment via credit card on MogulMums sales and checkout page for Product. Client understands he/she is responsible for the full payment and agrees to pay the sum requested electronically, via MogulMums’s website or a designated third-party payment processor of MogulMums’s choosing, in full.

D. If Product is offered at a temporary sale or promotional price, Client must purchase within the promotional window to be eligible for the promotional price. If Client purchases before a promotional window, Client confirms he/she is not entitled to a refund or reimbursement if or when the Product is offered at a discounted rate. Similarly, if Client misses the promotional window, Client may only obtain access to the Product if purchased at the full price.

5. REFUNDS:

A. As Client will receive full access to all Product materials immediately after purchase, MogulMums is not able to offer refunds once Client has purchased access to Product for any reason. If Client is dissatisfied with his or her purchase or otherwise unable to view it in its entirety, he or she may reach out to customer service at info@mogulmums.com.

6. VOLUNTARY PARTICIPATION

A. Client understands and agrees that he/she is voluntarily choosing to purchase Product and is solely responsible for any outcomes or results. You as the Client acknowledge and agree that MogulMums is not responsible nor liable to you should you sustain any injuries (financial, physical, emotional, or otherwise), incur harm, or encounter any negative ramifications in any way. Client agrees that any decisions to implement strategies, tactics, and information contained within the Product is solely the responsibility and decision of Client.

B. CLIENT BEHAVIOR: While Client is allowed to express his/her opinion regarding Product and MogulMums, should Client make any false or disparaging comments within any MogulMums organized Facebook group, or otherwise publicly speak negatively about MogulMums, Whitney Hodge, or The Product, Client may be removed from the MogulMums community. MogulMums places community and positivity at the forefront of their brand, and in order to preserve community standards and experience for other members, a customer who cannot abide by this may lose his/her access to the community. Client understands that any extensive negativity or similar disruption to the community in this way may result in revocation of Product access and all relevant communities, with NO REFUND.

7. DISCLAIMER

A. Client understands MogulMums and Whitney Hodge cannot guarantee results of the Product, and cannot make any representations or guarantees regarding individual results. MogulMums is providing information and education surrounding what has worked for MogulMums, and the proprietary systems it uses for its own social media marketing and growth, which may or may not be useful to Client. Client will hold MogulMums harmless if he or she does not experience the desired results

B. Earnings Disclaimer: MogulMums and Whitney Hodge also do not make any guarantees or assurances regarding a particular financial outcome based on use of the Product nor is MogulMums or Whitney Hodge responsible for Client earnings, or any increase or decrease in finances based upon information within Product. Any information or testimonials regarding past or current clients’ use of Product, or in working with MogulMums or Whitney Hodge contained on Website or in sales material that contain financial information are individual, and results may vary. MogulMums is not able to learn and assess all clients’ businesses, personal sales models, and strategies. As such, The MogulMums or Whitney Hodge has no way of ensuring that Product will work or be applicable to all individuals or businesses. It is your job as the consumer to assess whether the Product will be right or beneficial for you, and is in no way the responsibility of MogulMums, Whitney Hodge, or anyone else associated with MogulMums.

C. Client understands that all services provided by MogulMums in connection with the Product are provided on an “as is” basis, meaning it is without any guarantees, representations, or warranties, including but not limited to warranties relating to quality, non-infringement, fitness for a particular purpose, merchantability, or expectation or course of performance. Client is choosing to purchase Product and work with MogulMums on a purely voluntary basis and does not hold MogulMums responsible should Client become dissatisfied with any portion thereof.

D. Client agrees that he/she does not have a cause of action, legal remedy, and is not entitled to a refund should he/she not achieve the results desired following use of Product, as long as MogulMums delivers the digital training as described in Paragraph 1 above, or similar substitutes, upon additional agreement by MogulMums and Client.

E. Client agrees to hold MogulMums and Whitney Hodge harmless should any physical, emotional, or financial injury occur as a direct or indirect result of use of Product. The content provided by MogulMums on his/her website and within the Product consists of information that has worked for MogulMums and other clients, and may or may not be useful to Client in his/her personal business or life. Client understands MogulMums and Whitney Hodge cannot guarantee results, and has no expectation of a specific result that he or she holds MogulMums and Whitney Hodge responsible for.

8. INTELLECTUAL PROPERTY

A. Client agrees and understands that MogulMums has created numerous original, creative works in connection with the Product, and agrees that MogulMums and Whitney Hodge maintain all copyrights, licenses, and other intellectual property rights in all original or derivative content associated with or included therein, including but not limited to: templates, systems, videos, modules, documents, charts, emails, graphs, products, processes, handouts, worksheets, copy for website or sales pages, and any other original work created by MogulMums and Whitney Hodge. Client agrees she may be granted a limited right to use selected materials in the course of his or her own business, but understands that the original proprietary rights remain with MogulMums and Whitney Hodge. Nothing in this Agreement shall constitute a transfer of ownership of any Intellectual Property from MogulMums and Whitney Hodge to Client, nor grant any license to use the information, other than that which is expressly provided throughout the course of the Product. This means Client may not teach the information learned in Product to his/her clients or otherwise charge others to share the information learned in Product.

B. Client agrees and understands he/she is not to copy, repost, alter, publish, sell, assist others in selling, manipulate, distribute, or in any way exploit any of the content or intellectual property provided by MogulMums and Whitney Hodge or obtained through working with MogulMums and Whitney Hodge, without MogulMums and Whitney Hodge’s express written consent. If such behavior is discovered or suspected, The MogulMums and Whitney Hodge reserves the right to immediately end Client’s participation without refund, as well as access to any other programs or materials of MogulMums’ and Whitney Hodge that Client may have purchased, without refund, and reserve the right to prosecute any actionable infringement or misuse to the full extent of the law

C. Licensee Rights: MogulMums’ License to Client: Client understands that in purchasing the Product, she/he is gaining access to view all content and information, as well as any additional information or content shared with him/her by MogulMums and Whitney Hodge as she sees fit. Client understands this means he/she will have been granted a limited, revocable, non-transferable license to read and use the information provided for use in his/her business and life, as instructed or allowed by MogulMums and Whitney Hodge. As a “Licensee,” Client understands and agrees that Client will not:

i. Copy, edit, distribute, duplicate or steal any information or any Content obtained through Product without written permission by MogulMums and Whitney Hodge;

ii. Post, distribute, copy, steal or otherwise use any portion of the Product or its content, without written permission by MogulMums and Whitney Hodge, and understand that any such use may constitute infringement, which may give rise to a cause of action against Client.

iii. Share purchased materials, information, content with others who have not purchased them. 

Client further acknowledges and understands that any such actions including but not limited to those outlined above will likely constitute infringement and/or theft, and a violation of this Agreement and South African laws.

9. INDEMNIFICATION

Client agrees at all times to defend, fully indemnify and hold MogulMums, Whitney Hodge and any affiliates, agents, team members or other party associated with MogulMums and Whitney Hodge harmless from any causes of action, injury, illness, misunderstanding, damages, losses, costs, expenses incurred as a result of Client’s use of Product, as well as any third-party claims of any kind (including attorney’s and advocate’s fees) arising from his/her actions as a direct or indirect result of Product. Should MogulMums be required to defend herself in any action directly or indirectly involving Client, or an action where we decide Client’s participation or assistance would benefit MogulMums and Whitney Hodge’s defense, Client agrees to participate and provide any evidence, documents, testimony, or other information deemed useful by MogulMums and Whitney Hodge, free of charge

10. DISPUTE RESOLUTION

A. Should a dispute arise between MogulMums or Whitney Hodge and Client, the parties agree to attempt to resolve by good-faith negotiations and discussions. (Client agrees that failure to see results is not a basis for a “dispute” and agrees he or she does not hold MogulMums and Whitney Hodge responsible for any specific results, or those results which have been achieved by other clients of MogulMums.)

B. If unable to reach a resolution informally, Client and MogulMums or Whitney Hodge agree that all disputes will be submitted to Court, to be completed in South Africa within a reasonable amount of time. Client and MogulMums agree to participate in the legal process in good faith and in a manner that will effectively and efficiently resolve the dispute at hand, including the exchange of any materials, documents, or information. The decision made by the judge is to be final and binding on both parties, and is not to be appealed or otherwise set aside. It is to be enforceable in any court of proper jurisdiction as a judgment of law or decree.

11. APPLICABLE LAW

This Agreement shall be governed by and under control of the laws of South Africa regardless of conflict of law principles, and regardless of location of Client. Client understands this and agrees that the laws of South Africa are to be applicable here.

12. AMENDMENTS

This Agreement may be amended and/or updated by MogulMums from time to time as needed, to reflect the growth and updates to Product and services offered. Should any material changes be made, MogulMums will notify all current customers users via the email address used to sign up, with continued use of Product to constitute acceptance and agreement to the updated Terms.
